ShopEG (Sparketernal Technologies Pvt Ltd) ONDC Marketplace Seller Terms and Conditions

1. Introduction
These Sparketernal ONDC Marketplace Seller Terms and Conditions ("Agreement") govern your access to and use of the services ("Services") of Sparketernal Technologies Private Limited ("Company", “ShopEG”, "we", "us"). By registering as a seller on the ShopEG ONDC Marketplace Seller App or using ShopEG’s Services in any manner, you ("Seller", "you", "your") and any entity or affiliate you represent agree to be bound by this Agreement.
ShopEG reserves the right, at its sole discretion, to modify, add, or remove portions of this Agreement at any time. Your continued use of the Services following such changes indicates your acceptance of the modified Agreement.
2. Definitions
ShopEG/Company: Sparketernal Technologies Pvt Ltd, operator of the ShopEG marketplace platform.
ONDC: Open Network for Digital Commerce, a unified digital commerce infrastructure in India.
Seller: Any individual or business registered to offer goods and/or services through ShopEG's ONDC Marketplace Seller App or platform.
Services: Digital tools, integrations, and technology provided to sellers to list, manage, and sell via ONDC and the ShopEG platform.
Storefront: The custom ShopEG-powered online store provided to Sellers, which can be shared with and installed by customers as an app.
Customer: Any individual purchasing products/services via the Seller's ShopEG/ONDC Storefront.
3. Eligibility & Registration
- Sellers must provide accurate and complete business and regulatory information as required.
- Sellers must be eligible under relevant Indian laws and ONDC regulations.
4. Use of ShopEG Services (with ONDC Integration)
- Sellers use ShopEG to create a custom storefront, share it directly with customers, and enable customers to place and pay for orders directly through the storefront.
- The storefront is installable as an app (via PWA), offering customers a convenient, repeatable channel for direct orders.
- Services include POS system integrations, inventory synchronization, analytics, and other digital retail tools required for efficient operations and ONDC compliance.
- ShopEG provides the technology and support required for the seller's participation in ONDC.
5. Seller Obligations
- Maintain accurate, legal, and up-to-date catalogs and product/pricing information.
- Fulfill orders promptly and ensure high standards of customer service.
- Abide by all applicable ONDC, ShopEG, and statutory guidelines.
6. Fees and Subscription Policy
- Sellers are provided access to ShopEG's custom storefront and related services for a periodic fee communicated and agreed upon in advance (custom pricing).
- Subscription terms, billing cycles, and payment methods are shared during onboarding or in writing.
- ShopEG reserves the right to update subscription features and pricing with advance notice.
7. Refunds and Cancellation Policy
7.1 Subscription Refunds
- Fees paid for ShopEG's services are generally non-refundable except as required by law or in cases of clear technical failure attributable to ShopEG.
- If your subscription is terminated or cancelled, paid-for features and services continue until the end of the billing cycle unless otherwise specified.
7.2 Storefront Cancellation
- Sellers may cancel their storefront access or subscription at any time via account settings or by notifying ShopEG in writing.
- After cancellation, storefront access remains until the end of the billing period; no further renewals will take place unless re-activated.
7.3 Customer Order Refunds
- Sellers must honor ONDC and ShopEG refund and cancellation policies for customer orders.
- In the event of cancellations (such as out-of-stock situations or delivery failures), customers are entitled to refunds as per the ONDC and ShopEG protocols.
- ShopEG will facilitate refunds to customers in line with applicable payment gateway timelines. Sellers are required to cooperate promptly with any refund or dispute process.
7.4 Refund process
- Refunds will be initiated once the cancellation is confirmed or any pending dispute is resolved. Depending on the payment method used, the refund may take 5 to 7 business days.
- Refunds will be credited to the same payment method used during the purchase.
8. ONDC Participation
- Sellers must comply with all ONDC network policies and technical requirements while using ShopEG. This includes, but is not limited to, order management, product representation, cancellation/refund standards, and other ONDC mandates.
- ShopEG will support Sellers in adhering to ongoing ONDC technical and policy changes.
9. Data Protection & Privacy
- Sellers may only use customer data for legitimate order fulfillment and service communication; misuse for unsolicited marketing or third-party sharing is prohibited.
- ShopEG and Sellers must comply with all Indian data privacy laws and ONDC data policy requirements.
10. Limitation of Liability
- ShopEG is not liable for indirect or consequential damages. Direct liability is limited to the value of fees paid by Seller in the prior three months.
11. Term & Termination
- This Agreement remains in effect until terminated by either party by written notice or account deactivation.
- ShopEG reserves the right to suspend or terminate access immediately for legal, security, or policy reasons, or for non-compliance with ONDC, ShopEG, or regulatory standards.
12. Governing Law
This Agreement is governed by the laws of India. Any disputes to be addressed by the courts of Bangalore, Karnataka.
13. Modifications
ShopEG may change these Terms & Conditions at any time. If you continue using the Services after any changes are made, it means you accept and agree to the updated terms.
