These Terms and Conditions ("Terms") govern your use of the ShopEG platform, including the merchant dashboard, consumer-facing store app, delivery tracking app, and all related services (collectively, the "Platform") provided by Sparketernal Technologies Pvt Ltd ("we," "us," or "ShopEG"). By registering for or using the Platform, you ("Merchant" or "User") agree to be bound by these Terms. If you do not agree, please discontinue use immediately.
1. About ShopEG
ShopEG is a retail technology platform that enables supermarkets, hypermarkets, and kirana stores to manage online orders, delivery operations, staff workflows, and customer engagement. The Platform includes:
- A consumer-facing Progressive Web App (PWA) with merchant branding
- An order and delivery management dashboard
- A delivery agent tracking app
- ONDC seller integration
- POS connectivity (where applicable)
2. Eligibility
You must be a registered business entity or individual operating a retail store in India to use the Platform as a Merchant. By accepting these Terms, you confirm that you have the legal authority to enter into this agreement on behalf of your business.
3. Merchant Plans and Pricing
3.1 Free Plan - ONDC Sellers
Small kirana stores may list and sell on ONDC through ShopEG at no charge for a limited promotional period. We reserve the right to introduce fees for this tier with prior notice of at least 30 days.
3.2 Paid Plans - E-Commerce Store and POS
Merchants requiring a branded e-commerce storefront, POS integration, or advanced order management features are enrolled on a paid subscription basis.
- Free Trial: A 30-day free trial is offered upon sign-up. The trial period may be extended at the sole discretion of ShopEG.
- Post-Trial Subscription: After the trial period ends, continued access requires a paid subscription. The applicable plan and pricing will be communicated to you at the time of sign-up and may be updated with 30 days' prior notice.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly, unless otherwise agreed) without requiring further action from you. It is your responsibility to cancel before the next billing date if you do not wish to renew.
- Cancellation: You may cancel your subscription at any time by contacting support@shopeg.in. Cancellation takes effect at the end of the current billing cycle. Access to the Platform continues until that date.
3.3 POS Integration
POS connectivity is available as an additional service. Pricing and compatibility will be confirmed based on your existing POS provider. ShopEG is currently live on Task and GoFrugal and can work with other providers on a case-by-case basis.
4. Refund Policy
All subscription fees are non-refundable except in the following circumstance:
- If ShopEG fails to meet its service obligations (as reasonably determined by ShopEG), you may be eligible for a refund of the pro-rated amount for the affected period, or the most recent month's subscription fee, whichever is appropriate.
- All such refund requests are evaluated on a case-by-case basis. To raise a refund request, contact support@shopeg.in with details of the issue.
Free trial periods are not eligible for any refund claim.
5. Data Collection, Storage and Privacy
5.1 Merchant Data
We collect and store information you provide during registration and ongoing use, including business name, contact details, billing address, and operational data.
5.2 Customer Data
When a customer places an order through your ShopEG-powered store, we collect and store their personal information including name, phone number, delivery address, and order history on behalf of the Merchant ("Customer Data"). This data is:
- Stored securely on ShopEG's infrastructure
- Shared with the respective Merchant when an order is placed or managed
- Used by ShopEG solely to operate and improve the Platform
Customer Data is not sold to third parties. Merchants are responsible for ensuring their use of Customer Data complies with applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023.
5.3 Analytics and Monitoring Tools
We use the following third-party tools to monitor platform stability, diagnose issues, and improve user experience:
- Google Analytics - usage behaviour and traffic analysis
- Firebase Crashlytics - app crash reporting and stability monitoring
- Microsoft Clarity - session recordings and heatmaps for UX improvement
These tools may collect anonymised or pseudonymised data. By using the Platform, you consent to data being processed by these tools in accordance with their respective privacy policies.
5.4 Data Security
We implement reasonable technical and organisational measures to protect data stored on our Platform. However, no system is entirely secure. In the event of a data breach affecting your data, we will notify you as required by applicable law.
6. Merchant Responsibilities
As a Merchant, you agree to:
- Provide accurate business and billing information
- Keep your login credentials confidential
- Ensure all products listed on your ShopEG store comply with applicable laws
- Handle Customer Data responsibly and lawfully
- Not use the Platform for any unlawful, fraudulent, or harmful purpose
- Ensure your staff using the Platform (pickers, delivery agents, supervisors) comply with these Terms
7. Platform Availability and Support
We strive to maintain high Platform availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages, or unforeseen technical issues may cause temporary disruptions. We will make reasonable efforts to notify merchants of planned downtime in advance.

8. Intellectual Property
All technology, branding, code, design, databases (including the product catalog), and content on the Platform are the exclusive property of Sparketernal Technologies Pvt Ltd. Merchants are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for their retail operations during the term of their subscription. This licence does not transfer any ownership rights.
9. Limitation of Liability
To the fullest extent permitted by law:
- ShopEG shall not be liable for any indirect, incidental, or consequential losses arising from your use of the Platform.
- Our total liability to you in any month shall not exceed the subscription fee paid by you for that month.
- We are not liable for losses arising from third-party service failures (POS providers, payment gateways, ONDC infrastructure, etc.).
10. Termination
10.1 By Merchant
You may terminate your account at any time by contacting support@shopeg.in. Termination does not entitle you to a refund of fees already paid.
10.2 By ShopEG
We reserve the right to suspend or terminate your account with immediate effect if:
- You breach any provision of these Terms
- You use the Platform in a manner that is unlawful or harmful
- Payment obligations are not met
Where termination is not due to a breach, we will provide 14 days' prior written notice.
11. Modifications to Terms
We may update these Terms from time to time. When we do, we will notify you via email or an in-Platform notification at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
12. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes arising from these Terms shall first be attempted to be resolved through mutual discussion. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
